• Distribution Model: Partners purchase products from Menraku for resale.
• Agency Model: Partners act as intermediaries to facilitate orders and receive a commission.
The default term is one (01) year from the date of signing, unless otherwise agreed upon in writing.
Prices are specified in the price list attached to the contract. Menraku reserves the right to adjust prices but must notify the Partner at least 30 days in advance.
Payment is made via bank transfer.
For standard orders: 100% prepayment before delivery.
For Partners with a credit limit: Payment within 15 days from the date of invoice receipt.
Yes, late payments will incur an interest rate of 1.5% per month calculated on the overdue balance.
The standard delivery time is 3 to 5 working days for items currently in stock.
Partners must inspect goods immediately upon receipt. If manufacturing defects are found, the Partner must provide written notice within 48 hours to receive a replacement or refund.
Yes, but only within the scope of approved sales promotion activities and in compliance with Menraku’s brand identity guidelines.
Both parties commit to absolute confidentiality regarding pricing, business strategies, and customer data during the partnership and for at least 02 years after the contract terminates.
The contract may be terminated if:
• One party commits a material breach and fails to remedy it within 30 days.
• One party faces bankruptcy or dissolution.
• Both parties mutually agree to terminate with 60 days’ prior written notice.
